Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and iBOY Innovations Hub ("Company," "we," "us," or "our") governing your access to and use of the GreenSignal AI platform, waitlist portal, API, and all associated services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Acceptance of Terms

By registering for the waitlist, accessing the beta platform, or using any feature of the Service, you explicitly opt into the early testing validation program managed by iBOY Innovations Hub for GreenSignal AI. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. Description of Service

GreenSignal AI is an AI-powered marketing simulation platform that generates synthetic audience models to predict campaign engagement, click-through rates, and conversion metrics prior to live campaign launch. The Service is currently in Phase 1 Validation (waitlist and beta access) and features, capabilities, and availability are subject to change.

3. Waitlist and Early Access Program

Registration on the waitlist does not guarantee access to the platform. Early access is granted at the sole discretion of iBOY Innovations Hub based on capacity, validation phase requirements, and program eligibility. We reserve the right to deny, revoke, or limit access for any reason consistent with these Terms.

The "first 100 signups receive Lifetime Pro" promotion applies to verified, unique, non-automated registrations as determined by our team. Registrations flagged as duplicates, bot-generated, or in violation of these Terms will be disqualified.

4. Referral Program Integrity

Participants in the referral program agree to the following conditions:

  • Referrals must be genuine introductions to real individuals who voluntarily register for the waitlist.
  • Abusive, artificial, automated, or bot-generated referral activity is strictly prohibited and results in permanent disqualification from the referral program and termination of waitlist status.
  • Referral rewards are distributed at launch day at the sole discretion of iBOY Innovations Hub and are subject to verification of referral legitimacy.
  • Reward tiers and incentive structures are provided as stated at time of registration but are subject to modification per Section 6 of these Terms.
  • Referral rewards have no cash value and are non-transferable unless otherwise stated.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to simulate, produce, or distribute false, misleading, deceptive, or fraudulent advertising content.
  • Reverse-engineer, decompile, or attempt to extract source code, models, or proprietary algorithms from the Service.
  • Use automated bots, scrapers, or scripts to access, query, or overload the Service without express written permission.
  • Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts.
  • Upload content that is illegal, harmful, defamatory, obscene, or that infringes third-party intellectual property rights.
  • Use the Service to develop a competing product or to benchmark the Service for the purpose of building a competitor.

6. Modifications to Service, Features, and Pricing

iBOY Innovations Hub reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, including:

  • Promotional tiers, referral reward structures, and early access incentives.
  • Feature availability, simulation limits, and platform capabilities.
  • Pricing plans and billing terms for paid features post-launch.

Where modifications materially affect existing commitments (such as Lifetime Pro entitlements), we will provide advance notice via email to affected users and make reasonable efforts to honor the spirit of original commitments.

7. Intellectual Property

All content, technology, models, algorithms, branding, and materials comprising the Service are the exclusive intellectual property of iBOY Innovations Hub or its licensors. Nothing in these Terms grants you any ownership rights in the Service.

You retain ownership of any campaign assets, copy, or data you upload to the Service ("User Content"). By uploading User Content, you grant iBOY Innovations Hub a limited, non-exclusive license to process your User Content solely for the purpose of delivering the simulation results to you. We do not claim ownership of your User Content.

8. Disclaimers and No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IBOY INNOVATIONS HUB EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Simulation predictions and AI-generated performance estimates are probabilistic in nature. GreenSignal AI does not guarantee specific campaign outcomes, ROI, or business results. All predictions should be treated as informational guidance and not as financial or marketing advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBOY INNOVATIONS HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless iBOY Innovations Hub and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit to the Service.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration. Nothing herein prevents either party from seeking injunctive relief in a court of competent jurisdiction.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, the platform, or third parties. Upon termination, your right to use the Service ceases immediately.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iBOY Innovations Hub with respect to the Service and supersede all prior agreements, representations, and understandings.
